The deal, in the plainest words we can manage.

The short version

• Favor is a referral marketplace. You recommend places you actually go; when somebody you sent turns up and spends, the business pays a fee and half of it goes to you.
• You must be 18 or over, and you connect a card so we can tell a real visit from a claimed one.
• You are paid once per person, per place, on their first attributed visit.
• Fake referrals, self-dealing and spam get you removed and unpaid.
• Favor is not the business you recommended. We do not stand behind their haircut, their plumbing or their lamb.
• Disputes go to individual arbitration, not to court and not as a class action — unless you opt out within 30 days, which you may.

1. Who we are, and what this covers

Favor ("Favor", "we", "us") operates the Favor app and getfavor.app (together, the "Service"). These Terms of Service are the agreement between you and Favor. By creating an account, accepting an invitation, or using the Service in any way, you agree to them. If you do not, do not use the Service.

Our Privacy Policy explains what we do with data, including what we sell and license and how to opt out. It is part of this agreement.

2. Who can use Favor

• You must be at least 18 years old.
• You must be able to enter a binding contract, and not be barred from our services under any applicable law or sanctions list.
• Favor is invite-only. Being invited is not a right, and neither is staying in — but if we remove you we will tell you why, and you keep anything you have already earned unless it was earned in breach of section 7.
• One account per person. Accounts are personal and not transferable.

You are responsible for what happens under your account, and for keeping the device and phone number that reach it secure. Tell us promptly if you think somebody else has got in.

3. What Favor is, and what it is not

Favor introduces people to local businesses and pays members for introductions that turn into visits. That is the whole of it.

Favor is not a party to anything that happens between you and a business. We do not employ them, supervise them, guarantee them, or verify their licences, insurance or competence. We do not provide the goods or services you are recommending or receiving. If a recommendation goes badly, your recourse is with the business, and we will help where we reasonably can.

Favor is not a bank, a lender, a money transmitter acting on your behalf, or a financial adviser. Payments are handled by our payment processors, and their terms apply to that part.

4. Sending and receiving favors

• You may only pass along a business you have genuinely spent money at, which is why the card connection exists.
• A favor goes to one person at a time. Favor is not a broadcast channel, and using it as one is a breach of section 7.
• Only send a favor to somebody who would expect to hear from you. You are confirming, each time, that you have their permission to be contacted about this.
• What you write on a favor is yours. Keep it honest — you are describing a real place you really go, and you are doing it to a real person who will hold you to it.
• The welcome offered to the person you send is set by the business, not by us. It applies on their first visit, subject to whatever conditions the business has published.

5. Connecting a card

Favor pays on visits that actually happened, so both the member sending a favor and the person receiving it connect a payment card. By connecting one you authorise Favor and its card-linking provider to receive the merchant name, category, date and amount for transactions on that card, for as long as it stays connected.

You must only connect a card you are entitled to use. We cannot move money on a connected card, and we do not see or store the full number. You can disconnect at any time from the app; doing so ends your ability to send favors, because there is then nothing to qualify them, and may end your ability to be attributed as a recipient.

6. Earnings, fees and payouts

• A business sets what a new customer is worth to it. When Favor attributes a first visit to a favor you sent, the business is charged a fee on the attributed spend, and half of that fee is credited to you. During the pilot the fee is 10% of the attributed spend: 5% to you, 5% to Favor.
• You are paid once per person, per place. Subsequent visits by the same person to the same business do not earn again.
• Amounts shown in the app before a payout settles are estimates. The final amount is what the processor confirms.
• Earnings are held for a short period before they can be cashed out, so that refunds, chargebacks and reversals can settle. If a transaction is later refunded, reversed or found to be fraudulent, we may reverse the corresponding earning or recover it from a future payout.
• Favor may change fee levels, hold periods and payout minimums. Changes apply to favors sent after the change, not retroactively.
• Unclaimed balances are handled under applicable unclaimed-property law. We will make a real effort to reach you first.

7. Things you must not do

• Refer yourself, refer members of your household to collect on your own spending, or arrange reciprocal referrals whose purpose is to generate fees rather than customers.
• Create fake accounts, use somebody else's card or identity, or manufacture visits.
• Send favors in bulk, to strangers, to purchased lists, or to anybody who has told you to stop.
• Recommend a business you have not actually used, or misrepresent what it is like.
• Sell, auction or broker your Favor account, your invites, or your position in the network.
• Scrape the Service, reverse-engineer it, probe its security, or use it through anything other than the interfaces we provide.
• Use Favor for anything illegal, or for any business that cannot lawfully pay for a customer referral — including, in the United States, referrals involving residential real estate settlement services, mortgage services, and healthcare or clinical services reimbursable by a federal programme, where paying for a referral is prohibited by law.

If we believe you have done any of this we may withhold or reverse earnings, suspend or close your account, and tell the affected business. Where money was taken through fraud we may pursue it.

8. Tax

What you earn on Favor is income. You are responsible for reporting it and paying whatever tax is due. Where the law requires it, we will collect tax information from you before paying you, and will issue the forms we are obliged to issue. If you do not provide that information, we may be required to withhold or to stop paying you.

9. Businesses on Favor

If you list a business, you additionally agree that: you are authorised to bind that business; the welcome you publish will be honoured as published; you will pay attributed fees when they fall due; you will not attempt to discourage, penalise or route around a member who arrives through Favor; and you will not use member information for anything other than serving that customer. Misrepresenting visits or payments is grounds for removal and for recovery of amounts owed.

10. Your content, and our licence to use it

The words you write on a favor remain yours. You give Favor a non-exclusive, worldwide, royalty-free licence to store, reproduce, adapt and display that content for the purpose of operating, promoting and improving the Service. If we ever want to quote you by name in marketing, we will ask first.

You confirm you have the right to what you post, and that it is not unlawful, defamatory, or somebody else's.

11. Feedback

If you send us an idea for the product, we may use it without owing you anything for it. Do not send us anything you would not want used freely.

12. Our intellectual property

The Service, the Favor name and marks, and everything we have built are ours. We grant you a personal, revocable, non-transferable licence to use the app for its intended purpose. Nothing here transfers ownership of anything.

13. Third parties

The Service depends on other companies — card linking, payment processing, hosting, messaging. Their outages are our outages, and their terms govern their part of the arrangement. Businesses listed on Favor are independent of us, and links or listings are not endorsements.

14. Changes, suspension and ending it

We may change the Service, and we may change these Terms. If a change materially affects your rights we will give you notice — by email or in the app — before it takes effect, and continuing to use Favor afterwards means you accept it.

You can close your account at any time from the app. We can suspend or close an account for breach of these Terms, for legal or risk reasons, or if we stop operating in your city. On closure you may cash out any earnings that are settled and were not earned in breach of section 7. Sections 6, 8, 10, 15, 16, 17 and 18 survive.

15. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, that attribution will catch every visit, or that any particular favor will earn anything. We are not responsible for the quality, safety, legality or outcome of anything a business on Favor provides.

Some places do not allow these exclusions. Where that is so, they do not apply to you.

16. What we owe you if something goes wrong

To the fullest extent the law allows, Favor is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost earnings, lost data or lost goodwill.

Our total liability to you for any claim relating to the Service is limited to the greater of (a) the amount Favor paid you in the twelve months before the claim arose, and (b) one hundred US dollars.

None of this limits liability for fraud, for death or personal injury caused by our negligence, or for anything else that cannot lawfully be limited.

You agree to indemnify Favor against claims arising from your breach of these Terms, your misuse of the Service, or content you posted.

17. Disputes

Talk to us first: email legal@getfavor.app with what happened and what you want. Most things end there, and we ask for 30 days to try.

If that does not resolve it, you and Favor agree that any dispute will be settled by binding individual arbitration, administered by a recognised arbitration body under its consumer rules, rather than in court. You and Favor each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Either of us may still bring an individual claim in small-claims court.

You can opt out of this arbitration agreement. Email legal@getfavor.app with the subject "Arbitration opt-out" within 30 days of first accepting these Terms. Opting out costs you nothing and changes nothing else about your account.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Where arbitration does not apply, the courts of Orange County, California have exclusive jurisdiction.

18. The rest

• These Terms and the Privacy Policy are the whole agreement between us about the Service.
• If a provision is unenforceable, the rest still stands.
• Not enforcing something once does not waive it.
• You may not assign this agreement; we may, to a successor of our business.
• Nothing here makes either of us the other's agent, partner or employee.
